The clause is standard, it is not hidden, and it is nearly always the reason a company finds itself paying for another year of a tool it had already decided to drop. The mechanism works against buyers because the two events it connects are far apart in time and attention. The decision to stop using a tool is made by the team that uses it, often in the middle of a term, and rarely produces a legal action. The notice deadline is a date buried in a document held by finance or procurement, arriving quietly weeks before the renewal it governs. By the time the invoice appears and prompts the question, the window has closed and the term has already begun. Three practical defences. Record the notice deadline, not the renewal date, in a shared calendar with a named owner — those two dates can be months apart. Negotiate the window down at signature; a vendor that insists on ninety days for a self-serve product is optimising for exactly this failure. And where you can, ask for a renewal reminder obligation in writing: some vendors will agree to notify you a set period before the notice window closes, which turns the clause from a trap into an actual decision point.
